My real intellectual problem with the rulings of Scalia and Thomas--especially the originalist Thomas--is that corporate entities shouldn't have any rights as artificial constructions per an originalist framework--the First Amendment right to free speech at the time of the founding had to only apply to natural persons.

One thing that I think could be interesting is if courts will finally use corporate political speech to push back on the 'business judgment rule.'  Right now, boards of directors can pretty much do whatever they want, as long as there is no conflict of interest.  This ruling presents massive problems for questions of agency.  Boards, under the business judgment rule, may be tempted to authorize corporate political speech that is to their short-term benefit, but not to the short or long-term shareholder benefit.  But, if the board can get to the business judgment rule, its corporate political speech will, presumably, be beyond scrutiny.

The silver lining is that courts might get squeamish about the political-business judgment of directors, and I think there could be some pushback against the business judgment rule, of which I am decidedly not a fan.


I hear what you're saying but not applying the business judgement rule to these items would be a ''Dusty running your young pitching staff' level bad idea.  The whole purpose of the business judgement rule is a pragmatic decision that judges should not be second guessing the day to day business decisions of directors or officers.  If you subjected businesses to a fact based court suit any time they wanted to make a payment that could have a political speech component, the only business that would be in business is mine (especially when you think of the indirect political component of ordinary business actions-- such as membership in a trade association or placing commercials on MSNBC/FoxNews).

While I think the decision of the Court is real dumb (does it mean that I am violating the 13th Amendment by owning shares of stock in a Company?), having judges decide what political speech is ok would be a nightmare.

West Town Tavern's are pretty good, but I would suggest making them yourself.  Costco sells them on the weekends, and they are fresh and cheap, but its best to eat them the day you buy them  Just clean the little beards off, rinse with water throw in a pot that you have a lid for, add some sliced leeks and a couple of cloves of garlic (minced), and add a bit water and white wine  (and some thyme and heavy cream if you like) bring to a boil, cover the pot, cook for about 5 min or so , take off the heat and let sit for a couple more minutesand your done.  Just don't eat the ones that don't open.

Nope.  But both The Genius and McGwire would have you know that Canseco is DEFINITELY lying about the fact that steroids were actually used in the Oakland clubhouse.  THAT was just a lie "to sell books."

I still think that Canseco just guessed who was likely juicing (didn't take much figure it out, especially for someone juicing as well), threw it in the book and saw what stuck, and made up many of the details.  Even for people as dumb as McGwire etc., why on earth would you (as Conseco claimed) take 'roids right before or after a game in the locker room?

Yes. It gets two paws up from this burgerfaggot. The #1 burger is the balls.

Ate there last night for the first time post-hockee game (after stopping into Kumas to find the standard hour+ wait)  I had the #2 (blue cheeze onion straws, spicy ketchup), friend had the green chilli and fried egg burger, both great.  They also have awsome sides (split the fried pickles and okra and the truffle parmaign fries), a good bar and a great vibe.  Have to agree this place is homemade A-1 steakballs.

Blackerry doesn't get green font. Apparently the play was a Walker play they regularly practice but the ball carrier got a bit antsy and didn't wait long enough to let the play develop. Still like the idea of winning it on that play.

Call them a lot of things, but gutless isn't one of them.  Kafka looked like Jay Utler in the first half with all the redzone turnovers, but he brought them back from 14 down twice (and had to do it on his own.  Demos was just awful awful, ironic because he has been good all year.  Also liked the trick play call, I couldn't think of a worse place to have a backup kicker kick his first kick, and the play very nearly worked, just needed a slightly better downfield block.
